User Agreement & Terms of Use

Please read these Terms of Use carefully before using the Platform and its Products and Services offered by ijio Ltd., a company registered in England under number 08381465. This agreement sets forth the legally binding terms and conditions for access and use of the website at www.ijiBox.com and all Products and Services provided by ijiBox on the Platform for free or on a fee basis. By using the Platform in any manner, including but not limited to visiting or browsing the Platform, you agree to be bound by this Agreement. This Agreement applies to all Users of the Platform.

You acknowledge and agree that, by accessing or using the Platform or its Products and Services, you are indicating that you have read, and that you understand and agree to be bound by these terms, whether or not you have registered with the Platform. If you do not agree to these terms, then you have no right to access or use the Platform, its Products and Services, and collective content or to participate in the referral program. ijiBox may refuse or cease to provide the Service where ijiBox believes it is or may be in breach of these Terms, or used for any unlawful or improper purpose, or for any other reason. Failure to use the Platform in accordance with these Terms may also subject you to civil and criminal penalties.

Words and phrases meaning

‘Platform’ means the online website or the mobile application provided to you to manage Products and Services, and to communicate with other Users.

‘User’ means you or anyone who uses the Platform.

‘Customer’ means User who purchases a Product or a Service on the Platform.

‘Workspace’ means your online area where you communicate and collaborate with other Users, Businesses and Third Party Partners.

'Business' means a business who has knowledge, skills and experience in a specific trade and may possess a certificate to support that.

‘Third-Party Partner’ means the company or other legal entity accepting this Agreement, and Affiliates of that company or entity. The use of the term “Partner,” or similar language, in no way is intended to create a legal partnership and is solely intended as a business term, relating to the Company’s business practice.

‘Products and Services’ means products or services offered to you by ijiBox, Businesses or Third Party Partners on the Platform.

‘Account’ means a personal user account you create on the Platform. This is the area where you manage your personal details and spaces you joined to.

‘Content’ means all of the documents, information, resources and other materials that exists on the Platform.

‘Privacy Policy’ means the Privacy Policy that is published on the Platform.

‘ijiBox’ means ijio Ltd. (Company No. 08381465) registered in England and Wales, and its registered office is 21 Pippin Gardens, Derby, DE24 8NU.

‘Subscription Charges’ means the fee that is payable monthly or yearly to ijiBox in return for a particular Product or Service.

‘Terms of Use’ means the terms and conditions for using the Platform and its Content.

Modifications

ijiBox reserves the right, at its sole discretion, to modify the Products and Services or to modify these Terms at any time. Notification of any changes, including fees will be made by posting new terms onto the Platform or through other reasonable means of providing notice. Be sure to return to this page periodically to review the most current version of the Agreement. In continuing to access or use the Platform following any updates and modifications, you confirm that you accept the then current Terms of Use in full at the time you use the Platform.

Monitoring phone calls and emails

ijiBox may monitor and record its own conversations with Users in order to improve its Products and Services, and ensure that ijiBox complies with its own practises and procedures.

Communications

When User visits the Platform, send e-mails or messages to ijiBox, User is communicating with ijiBox electronically. User hereby consents to receive communications from us electronically. ijiBox will communicate with User by e-mail or by posting notices on the Platform. User agrees that all agreements, notices, disclosures and other communications that ijiBox provides to User electronically satisfy any legal requirement that such communications be in writing.

Account

User account and content

In order to use the ijiBox Products and Services, you must register on the Platform by providing some personal information about yourself and confirming your email address. You would need to create your Workspace area in order to manage your activities and collaborate with other Users and Businesses. You agree that all information supplied on registration is true and accurate and will be kept up to date at all times. We will use the information provided to us to contact you if required. By using the Platform, you consent to ijiBox Privacy Policy and its information processing. You will be responsible for keeping your personal details strictly confidential, for all activities that occur under your account and ensure that nobody other than you accesses your account.

Once you have registered with ijiBox you can use the Platform subject to these Terms of Use, the Privacy Policy and any other Third Party terms and conditions you have agreed to. Please ensure you have full knowledge of these terms and conditions. You acknowledge that ijiBox is not responsible or liable for any Content provided by you and/or other Users. However ijiBox reserves the right to pre-screen, refuse, modify and/or remove Content at any time, without prior notice and in its sole discretion, if such Content is found to be in violation of this Agreement.

Sharing of your data

While using the Platform certain personal information will have to be disclosed to Third Parties, such as a payment merchant or other Businesses you work with on the Platform. ijiBox may pass on your name, email address and/or other essential information about you, so that Businesses and Users can contact and work with you. By agreeing to these Terms you agree and accept that such information can be disclosed.

Roles

There are five types of roles on the ijiBox platform. Every user in ijiBox has a role and each one has a different level of permissions such as Owner, Creator, Editor, Commenter and Reader. Please familiarise yourself with all roles before giving access to your Workspace.

Billing and payment

Subscription charges

The Subscription Charges are applicable to a subscription of a Service to which you have subscribed. Unless your Account and subscription to a Service is terminated in accordance with the terms of this Agreement, your subscription to a Service will renew on a monthly or yearly basis chosen by You during a subscription process.

When you use our Products and Services we may take your bank information from you such as the name on the card, card number, start date, expiry date, security code and/or card address. This information will only be used to take the payment for your chosen Products and Services and will not be stored on our system. This information will be stored on a secure card merchant’s system provided by Stripe and can be reused again by you if you decide to choose any other Products and Services on ijiBox. You can always opt out of having your card stored if you prefer.

If at any point you believe that you are billed in error, you should notify customer service.

Third party fees

Third party Products and Services could be offered to Users for free or on a fee basis on ijiBox Platform such as payment processing, accountancy, loans for businesses, technology applications and more. You agree that we are not liable for and cannot accept any liability in conjunction with any contract or agreement created between you and a third party.

Subscription termination

Either ijiBox or You may terminate a Subscription Agreement to a Service as of the end of Your then current Subscription Term by providing notice, in accordance with this Agreement, no less than thirty (30) days prior to the end of such Subscription Term.

Cancellations and refunds

With ijiBox you only pay for the Products and Services that you use, but if you wish to cancel or withdraw any Products and Services you can do so at any time. However, under no circumstances any full or part refund will be made in regards to Subscription Charges if You terminate Your subscription prior to the end of Your then current Subscription Term.

Intellectual property rights

ijiBox considers any unsolicited suggestions, ideas, feedback or proposals in relation to the Platform or the Products and Services (collectively, the "Material") to be non-confidential and non-proprietary and ijiBox shall not be liable for the disclosure or use of such Material. Any communication by you to ijiBox is subject to this Agreement. You hereby grant and agree to grant ijiBox, under all of your rights in the Material, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, sub-licensable and transferable right and license to incorporate, use, publish and exploit, distribute, reproduce, modify, adapt, translate, publicly perform and publicly display such Material for any purpose whatsoever, commercial or otherwise, including but not limited to incorporating it in the API, documentation, or any product or service, without compensation or accounting to you and without further recourse by you.

You understand that in order to provide the Platform and make your Content available on the Platform, ijiBox may distribute your Content across public networks, in various formats and media, and modify or change your Content to comply with requirements of those networks, devices or computers. You agree that you permit ijiBox to take any such actions.

Ownership of the Site and its Contents

The Site is owned by ijio Ltd. Unless otherwise indicated, all of the content featured or displayed on the Site, including, but not limited to, space information, text, graphics, data, photographic images, moving images, sound, illustrations, software and the selection and arrangement thereof ("Content"), is owned by ijio Ltd., its licensors or its Third-Party Partners. All elements of the Site, including the Content, are protected by copyright, trade dress, moral rights, trademark and other laws relating to the protection of intellectual property and may not be used unless authorised by the trademark owner. All the Content not owned by us that appear on the Platform or through the Platform’s services, if any, are the property of their respective owners.

Nothing contained on the Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Content displayed on the Platform without our express written permission or that of the third party rights holder. Your misuse of the Content displayed on the Platform is strictly prohibited. ijio Ltd. will aggressively enforce its copyright rights to the fullest extent of the law, including the seeking of criminal prosecution.

All content included on the Platform, such as text, graphics, logos, button icons, images, and Software is the property of ijiBox or ijiBox’s licensors and other content suppliers and protected by the United Kingdom and international copyright laws. All software used in connection with the Platform is the property of ijiBox or its software suppliers and protected by the United Kingdom and international copyright laws.

Restrictions

You must not:

• use of any automated means to access, monitor or interact with any portion of the Platform, including through data mining, robots, spiders, scraping, or similar data gathering or extraction methods;
• modify or otherwise make any derivative uses of the Platform and its Products and Services, or any portion thereof;
• use any device, software or routine to interfere, disrupt or attempt to interfere or disrupt with the proper working of the Platform or any transaction being conducted on the Platform, or with any other person’s use of the Platform;
• attempt to gain unauthorised access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or to any ijiBox server, or to any of the Products and Services offered on or through the Platform, by hacking, password “mining”, or any other illegitimate means;
• sublicense, resell or offer in any other way the Platform, use of or access to the Platform for commercial gain or otherwise;
• use the Platform or any Content for any purpose that is unlawful, harassing, threatening, harmful, tortious, defamatory, libellous, abusive, violent, obscene, vulgar, invasive of another’s privacy, hateful, racially or ethnically offensive or prohibited by this Agreement, or which infringes the rights of ijiBox or others;
• stalk, harass, threaten or harm another;
• pretend to be anyone, or any entity, you are not, you may not impersonate or misrepresent yourself as another person, entity, another User, a ijiBox employee, or , or otherwise misrepresent your affiliation with a person or entity;
• engage in any copyright infringement or other intellectual property infringement (including uploading any content to which you do not have the right to upload), or disclose any trade secret or confidential information in violation of a confidentiality, employment, or nondisclosure agreement;
• post, send, transmit or otherwise make available any unsolicited or unauthorised email messages, advertising, promotional materials, junk mail, spam, or chain letters, including, without limitation, bulk commercial advertising and informational announcements;
• upload, post, email, transmit, store or otherwise make available any material that contains viruses or any other computer code, files or programs designed to harm, interfere or limit the normal operation of the Platform (or any part thereof), or any other computer software or hardware;
• plan or engage in any illegal pager;
• gather and store personal information on any other Users of the Platform to be used in connection with any of the foregoing prohibited activities.
• not to reveal your Account information to anyone;
• that you are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify ijiBox of any security breach;
• that the Products and Services are designed and intended for personal use on an individual basis and you should not share your Account information and/or password details with other individuals and/or corporate bodies;
• that provided we have exercised reasonable skill and due care, ijiBox shall not be responsible for any losses arising out of the unauthorised use of your Account resulting from you not following these rules;
• ijiBox will never ask you to reveal your account password either verbally or in writing;
• to provide accurate and complete information when you register with, and as you use the Platform and you agree to update your account information to keep it accurate and complete;
• that failure to provide accurate, current and complete Account information and data may result in the suspension and/or termination of your Account and/or Products and Services.

Disclaimer of Warranty

This Platform, the content contained therein and the Products and Services provided on or in connection therewith are provided on an "As is" or “as available” basis without warranties of any kind, either express or implied. ijiBox disclaims all other warranties, express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement as to the information, content, and materials in our Platform.

All reasonable steps are taken to ensure that all Content submitted by you on the Platform is secure. ijiBox does not represent or warrant that materials in our Platform or the Products and Services are accurate, complete, reliable, current, uninterrupted or error-free. ijiBox does not represent or warrant that the Platform, Products and Services will be free from loss, corruption, attack, viruses, ‘worms’, ‘trojan horses’ or other harmful components, or from interference, hacking or other security intrusions.

Limitation of Liability

In no event shall ijiBox, and (as applicable) ijiBox's subsidiaries, officers, directors, employees or ijiBox's suppliers be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the Platform, ijiBox's Products and Services, or this agreement, including without limitation, lost profits, bodily injury, emotional distress, or any special, incidental or consequential damages.

Therefore, to the extent permitted by law, (a) we disclaim any warranties, express or implied, and (b) other than as set out above, we are not liable for any loss or damage — direct or indirect and whether arising in contract, tort, or otherwise — even if we have been advised of the possibility of this loss or damage.

Third party Providers

We provide the website on an “as is” basis. We introduce Users to Businesses who provide Products and Services offered on the Platform, and are not responsible or liable for the end services that are provided.

When using Third-Party Products and Services on ijiBox Platform, you agree that ijiBox is not liable for and cannot accept any liability in conjunction with any contract or agreement created between you and a Third-Party provider.

Force Majeure

ijiBox will not be liable or accountable for any loss or damage, delay or failure in the performance under this Agreement that is caused by the circumstances beyond its reasonable control, including but not limited to Act of God, earthquake, flood, hurricane or any other natural disaster or extreme weather conditions; any law or government act, rule, regulation or any other action taken by a government or public authority; fire, vandalism, explosions or accidental damage; war, terrorist attack, armed conflicts or riots; interruption or failure of utility service, including but not limited to electric power, water or gas; chemical, nuclear or biological attack or contamination; any labour dispute, including but not limited to strikes and industrial actions; default, non-performance or delay by suppliers or subcontractors; failure of machinery, vehicles, computers, the Internet or telecommunications.

Legal Compliance

ijiBox may terminate this Agreement and your access to all or any part of the Platform at any time, with or without cause, effective upon not less than 30 days written notice thereof to you (provided that, if ijiBox determines there may be an immediate threat to ijiBox, breach of this Agreement or failure to pay any fees, interest or charges due, it may terminate such access with immediate effect and without notice). Upon termination notice from ijiBox, you may no longer have access (or attempt to access) the Platform. When this Agreement is terminated for any reason, you must contact ijiBox promptly to arrange to pay any outstanding amounts.

You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Platform and any Products and Services offered on the Platform. In addition, you shall be responsible for paying any and all taxes applicable to any transactions you make on the Platform (excluding any taxes on ijiBox’s net income).

You acknowledge and agree that ijiBox may, without liability to you, access, use, preserve and/or disclose your Account information and Content to law enforcement authorities, government officials, and/or a third party, as ijiBox believes is reasonably necessary or appropriate, if legally required to do so or if we belief that such access, use, disclosure, or preservation is necessary to: (a) comply with legal process or request; (b) enforce this Agreement, including investigation of any potential violation thereof; (c) detect, prevent or otherwise address security, fraud or technical issues; or (d) protect the rights, property or safety of ijiBox, its Users, a third party, or the public as required or permitted by law.

Indemnity

You agree to indemnify and hold ijiBox and (as applicable) ijiBox's parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

Miscellaneous

The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. You acknowledge and agree that, in entering into this Agreement, you do not rely on, and will have no remedy in respect of any statement, representation, warranty or understanding (whether negligently made or not) other than as explicitly set out in these Terms of Use. This Agreement is not assignable, transferable or sub-licensable by User except with ijiBox’s prior written consent. ijiBox may transfer, assign or delegate this Agreement and its rights and obligations without consent. This Agreement shall be governed by and construed in accordance with English law and both parties submit to the non-exclusive jurisdiction of the English Courts.
